These terms apply to your use of Insight, the trade platform operated by Adrian Lawton ("RA & Olly", "we", "us") at https://insight.raandollyltd.com. They sit alongside the distribution, supply or trading agreement between your organisation and RA & Olly. If the two conflict, that agreement prevails.
1. Access
- Insight is for retailers, publishers, partners and staff who have been invited by RA & Olly. Accounts are personal: don't share your login.
- You must be authorised by your organisation to use Insight on its behalf. Your organisation is responsible for what is done through its accounts.
- We may suspend or close an account, for example when someone leaves your organisation, if we suspect misuse, or when our trading relationship ends.
2. Using Insight
- Use Insight only for your trading with RA & Olly.
- Keep your login details secure, and tell us straight away at office@raandollyltd.com if you think someone else has used your account.
- Do not try to access information that isn't yours, test or bypass Insight's security, overload the service, or copy data from it by automated means.
- Information you enter (orders, sales figures, returns and so on) should be accurate and complete as far as you know.
3. Orders, returns and reports
- Orders, standing orders, returns and credits made through Insight are handled under your trading terms with RA & Olly: supply, sale-or-return and firm-sale terms, deadlines, discounts and payment terms.
- Stock levels, sell-through and sales figures in Insight are provided for information and planning. They depend on information from retailers, warehouses and partners, and may be updated or corrected. Invoices, credit notes and agreed sales reports are the record for payment.
4. Your information and ours
- Information you or your organisation provide remains yours. You allow us to use it to run Insight and our business, as described in our Privacy Policy.
- Publishers' sales reports include information about the retailers that stock their titles. Use it only for managing your titles with RA & Olly.
- Insight, its design and software, and the data we compile in it belong to RA & Olly and its licensors.
5. Availability
We aim to keep Insight available and working correctly, but we can't guarantee it will always be uninterrupted or error-free. We may change features, and we will try to give notice of planned maintenance. If something looks wrong, contact us at office@raandollyltd.com.
6. Liability
Nothing in these terms limits liability that cannot be limited by law. Otherwise, our liability arising from your use of Insight is as set out in your trading agreement with us. We are not liable for losses caused by inaccurate information supplied by third parties, or by your account details being used by someone you allowed to use them.
7. Changes to these terms
We may update these terms. We will tell you about significant changes through Insight or by email. Continuing to use Insight after a change means you accept the updated terms.
8. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
